Terms of Service

1. Agreement & Scope

These Terms of Service ("Terms") govern your access to and use of iimaginer's platform, website, and services (collectively, the "Service"). By accessing or using iimaginer, you agree to be bound by these Terms. If you do not agree, do not use our Service.

These Terms apply to all users of iimaginer, including:

• Students & Families (B2C): Free platform access
• Universities (B2B): Institutional subscriptions (Connect, Intelligence, Strategic)
• Employers (B2B): Talent pipeline subscriptions (Pipeline, Intelligence, Partner)

2. User Accounts & Eligibility

To create an iimaginer account, you must:

• Be at least 13 years old (16 in some EU jurisdictions)
• Provide accurate, current, and complete information
• Maintain confidentiality of your password and account credentials
• Accept responsibility for all activities under your account
• For B2B accounts: be authorized to represent your institution

If you are under 18, a parent or guardian may be required to consent to these Terms. Users under 13 may only access iimaginer with explicit parental/guardian consent.

You are responsible for notifying us of any unauthorized account access or security breaches.

3. Acceptable Use Policy

You agree NOT to use iimaginer for:

• Illegal activities or violating local, national, or international laws
• Harassment, bullying, discrimination, or threatening behavior
• Uploading malware, viruses, or malicious code
• Attempting to gain unauthorized access to systems or data
• Scraping, automated access, or bot activities without permission
• Impersonation or misrepresentation of identity
• Spamming, phishing, or fraudulent activities
• Violating intellectual property rights of others
• Spreading misinformation or deliberately false information
• Commercial activity or reselling access without authorization

Violation of these terms may result in account suspension or termination, legal action, and law enforcement notification.

4. Student & Family Plans

Free Tier: All students have free access to:

• Comprehensive career & education assessments (Lite, Core, and Deep tiers)
• Program recommendations matched to your profile
• University and employer intelligence
• Basic chat with Mojo AI guidance

Optional Premium Courses: Students may purchase micro-credential courses (€3K–€5K per course) to develop future-focused skills. These are optional and do not affect core platform access.

We reserve the right to introduce paid features in the future with 30 days' notice. Current free features will remain free.

5. University Partner Plans

Universities may subscribe to iimaginer under one of these tiers:

Connect (€0 / Freemium)

• 1 custom landing page with institution branding
• 20% commission on tuition placement fees
• Up to 2 staff seats
• Basic university intelligence dashboard

Intelligence (€8K/year)

• 3 customizable landing pages
• 15% commission on tuition placement fees
• Up to 5 staff seats
• Advanced analytics and reporting dashboard
• View-only access to program alignment insights
• Email support

Strategic (Custom)

• Unlimited landing pages and customization
• Negotiated commission structure
• Unlimited staff seats
• Full analytics, AI grouping, and personalization features
• Dedicated account manager
• Custom integration roadmap, co-designed with our team
• Priority support

Billing: Annual subscriptions are billed upfront. Monthly billing available upon request at a 10% premium.

Cancellation: Subscriptions may be cancelled with 60 days' notice. Placement fees are earned when a student enrolls; commission applies regardless of subscription status.

6. Employer CTIP Plans

Employers may subscribe to our Candidate Talent Intelligence Pipeline (CTIP) under:

Pipeline (€12K/year)

• Follow up to 25 emerging talent profiles
• 20% commission on first-year salary (when hired)
• Up to 2 staff seats
• Basic pipeline visibility and candidate tracking
• Weekly market intelligence briefs (optional)

Intelligence (€30K/year)

• Follow unlimited candidate profiles
• 20% commission on first-year salary
• Up to 5 staff seats
• Advanced pipeline analytics and forecasting
• Weekly AI-generated market intelligence briefs
• Skill demand analytics and trend reports
• Email support

Partner (Custom)

• Unlimited candidates and pipeline customization
• Negotiated commission structure
• Unlimited staff seats
• Full analytics, forecasting, and AI insights
• Weekly briefings + dedicated analyst
• Custom integration roadmap, co-designed with our team
• Dedicated account manager
• Priority support

Commission Terms: Commissions are earned when a hired candidate's employment begins and are calculated on verified first-year salary. iimaginer invoices after hire confirmation.

Cancellation: Subscriptions may be cancelled with 60 days' notice. Earned commissions are payable even after subscription ends.

7. Intellectual Property Rights

iimaginer IP: All content on iimaginer—including assessments, algorithms, recommendations, course materials, UI design, and branding—is the exclusive property of iimaginer Oy. You may not reproduce, modify, distribute, or use these materials without written permission.

User Content: By submitting assessment responses, profile information, or other content, you grant iimaginer a worldwide, royalty-free license to use, analyze, and improve our services. This includes using aggregated, anonymized data to enhance recommendations and market intelligence.

Third-Party Content: iimaginer may display educational content, university information, or job market data from third parties. We do not claim ownership of such content. All third-party licenses and attributions are respected.

8. Limitation of Liability

NO WARRANTIES: iimaginer is provided "AS IS" without warranties of any kind, express or implied. We do not guarantee:

• Uninterrupted or error-free service
• Accuracy of assessments, recommendations, or market intelligence
• Fitness for a particular purpose
• Security or protection from unauthorized access
• Educational or employment outcomes

LIMITATION: Except where prohibited by law, iimaginer's total liability for any claim is limited to:

• Students: €0 (free tier) or the amount paid for premium courses in the last 12 months
• Universities: The annual subscription fee paid in the last 12 months
• Employers: The annual subscription fee paid in the last 12 months

NO CONSEQUENTIAL DAMAGES: iimaginer is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost opportunity, or reputational harm, even if advised of the possibility.

Important Note: iimaginer is a guidance tool, not a guarantee of educational or employment outcomes. Final decisions about education and career should be made in consultation with academic advisors, career counselors, and other professionals.

9. Termination & Suspension

By You: You may delete your account at any time. Upon deletion, your data will be securely removed within 30 days. Active subscriptions (B2B) will be cancelled immediately.

By iimaginer: We may suspend or terminate your account if:

• You violate the Acceptable Use Policy (Section 3)
• Payment fails and is not resolved within 10 days (B2B)
• Unauthorized access or fraud is detected
• Court order or legal requirement demands account closure

Effect of Termination: Upon termination:

• Your account access is immediately revoked
• Subscription charges cease (unless otherwise owed)
• Your data will be deleted within 30 days
• Earned commissions (employers) remain payable

10. Indemnification

You agree to indemnify and hold harmless iimaginer, its officers, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:

• Your violation of these Terms
• Your use of iimaginer in violation of law
• Your infringement of third-party rights
• Disputes with other users or third parties

11. Important Disclaimers

Not Professional Advice: iimaginer provides guidance and intelligence but does not constitute educational, career, financial, or legal advice. Always consult qualified professionals (admissions officers, career counselors, financial advisors) before making major decisions.

No Guarantee of Admission or Employment: Program recommendations do not guarantee admission to universities or employment by employers. Admission decisions are made by institutions based on their own criteria.

AI-Generated Content: Our Mojo AI engine generates recommendations, insights, and briefs using machine learning. While we strive for accuracy, AI content may contain errors, biases, or misinterpretations. Always verify critical information independently.

Third-Party Information: iimaginer aggregates data from multiple sources. We cannot guarantee the accuracy, completeness, or timeliness of third-party content (university data, job postings, market intelligence).

12. Governing Law & Dispute Resolution

Governing Law: These Terms are governed by the laws of Finland, without regard to conflicts of law principles.

Jurisdiction: You consent to the exclusive jurisdiction of the courts of Helsinki, Finland for any legal proceedings. However, you may bring claims in your local small claims court if applicable.

Dispute Resolution: Before initiating legal proceedings, we encourage you to contact us at legal@iimaginer.com to resolve disputes informally. If informal resolution fails, either party may pursue legal action.

Arbitration: For certain non-B2B disputes, you may opt for binding arbitration instead of court proceedings. Contact us for arbitration procedures.

13. Changes to These Terms

We may update these Terms to reflect changes in our service, legal requirements, or business practices. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending you email notification for B2B accounts (30 days' notice for material changes)

Your continued use of iimaginer after changes constitutes acceptance. If you do not agree with changes, you may terminate your account.
